Your use of our services, including the services we make available through this website https://reviewcraze.com and all related web pages, mobile sites, applications, data files, dashboards, and tools that link to these Terms (collectively, the "Site"), and all software or services offered by Review Craze in connection with any of the above (collectively, the "Services"), is governed by these Terms and Conditions (the "Terms"). Please read them carefully before using the Services.

For the purposes of these Terms, "we," "our," "us," and "Company" refer to Review Craze, the provider and operator of Review Craze.

By using the Services, you ("Client" or "User") agree to these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" and "your" will also refer to that organization.

To use the Services, you must be at the legal age mentioned by our country. Children are not permitted to use or register for the Services. If you are under the legal age and wish to use this product, you must obtain parental or guardian consent. Parents or guardians providing consent agree to be bound by these Terms with respect to their child's use of the Services.

You acknowledge and agree that your use or purchase of the Services is not contingent on the delivery of any future functionality or features, nor is it dependent on any statements or commitments made by the Company or its affiliates regarding future enhancements.

If you have entered into a separate written agreement with Review Craze for use of the Services, the terms of that agreement will take precedence over any conflicting terms in these Terms regarding the Services specified in that agreement.

By accessing, registering for, using, or otherwise interacting with the Services or any materials provided through the Services, you agree to be bound by these Terms. If you do not accept these Terms, you may not use or access the Services.

Certain features of the Services may be subject to additional guidelines, terms, or rules, which will be posted within the Service or on the Site. In the event of a conflict between such feature-specific terms and these Terms, the feature-specific terms will govern only for that feature; all other aspects of your use remain governed by these Terms.

To use Review Craze, you must register an account with us ("Customer Account"). When creating your account, you agree to provide accurate, complete, and current information and to update your information as needed.

Your Customer Account is for your personal or organizational use only. You may not authorize others to use your account without our prior written consent. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account, including actions by any Authorized Users you permit.
• Notifying us immediately if you become aware of any unauthorized access or security breach involving your account.

You agree not to use another person's account without permission and to comply with all applicable laws and regulations while using the Service.

Through Review Craze, you can collect, store, and manage content such as customer reviews, ratings, feedback, comments, images, and other related data (collectively, "User Content").

You are solely responsible for all User Content you upload, collect, or share through the Service, including:

• Ensuring it does not violate any third-party rights, applicable laws, regulations, or contractual obligations.
• Ensuring that content collected from customers or third parties complies with applicable privacy and data protection laws.
• Assuming all risks related to the accuracy, legality, or appropriateness of the content.

If you are using the Service on behalf of an organization, you are responsible for the actions of your Authorized Users and any User Content they manage or share through the platform.

By using Review Craze, you grant the Company a non-exclusive, worldwide, royalty-free license to host, store, display, and process your User Content as necessary to provide the Service.

While Review Craze does not actively monitor User Content, we reserve the right, at our discretion, to review, remove, or restrict access to content that:

• Violates these Terms or applicable laws.
• Contains defamatory, offensive, or harmful material.
• Includes malware or other malicious content.

Review Craze assumes no liability for any User Content uploaded, collected, or shared by you or any third party. Deleted or removed content may be irretrievable, and it is your responsibility to maintain any necessary backups.

By uploading, submitting, or otherwise providing User Content (such as customer reviews, ratings, feedback, or related data) to Review Craze, you grant Review Craze a worldwide, royalty-free, non-exclusive license to host, store, display, reproduce, modify, adapt, and process such User Content solely to provide, operate, and improve the Services. This license does not transfer ownership of your content.

Except for the limited license granted above, Review Craze does not claim ownership of any User Content you upload or share. You retain all rights, title, and interest in and to your User Content, including any intellectual property rights. You are solely responsible for protecting and enforcing your rights in your User Content. Review Craze has no obligation to monitor or protect your User Content on your behalf.

You acknowledge and agree that Review Craze (and its licensors) retain all rights, title, and interest in and to the Services and Review Craze-Supplied Content, including the software, features, interface, design, algorithms, and any other proprietary materials provided as part of the Service. These materials are protected by copyright, trademark, patent, and other intellectual property laws, whether or not registered, and worldwide.

Nothing in these Terms authorizes you to use Review Craze's trademarks, logos, domain names, or other distinctive brand features without express prior written permission, except as otherwise permitted by applicable law.

6.1 Pricing

Access to Review Craze is provided on a paid subscription basis. All subscription fees, charges, and applicable taxes are listed on the Review Craze website or in your account dashboard. Pricing may vary depending on the plan or features selected. All fees are due on time and are non-refundable, unless otherwise agreed in writing or required by law.

6.2 Invoicing and Payment

• All invoices are issued by Review Craze through Stripe
• Clients are responsible for ensuring timely payment of all fees.
• Services may be suspended or terminated if payment is not received in full by the due date.
• You agree to provide valid payment information and authorize Review Craze to charge for all applicable fees for the subscription plan you select.

If you are a consumer located in the European Union, you have the right to withdraw from this contract within 14 days without providing a reason.

However, by purchasing and using Review Craze, you expressly agree and acknowledge that the Services consist of the supply of digital content delivered online and not on a tangible medium. You expressly consent to the immediate performance of the contract upon purchase and acknowledge that you will lose your right of withdrawal once the Services have been fully provided or access has been granted.

By accepting these Terms and purchasing the Services, you explicitly request that Review Craze begin performance of the Services before the end of the 14-day withdrawal period. You acknowledge that once performance of the Services has begun, you will no longer have the right to withdraw under Article 16(m) of Directive 2011/83/EU of the European Parliament and of the Council.

Modification of Services:

Review Craze is continually evolving to provide the best experience for its users. You acknowledge and agree that the form, features, and functionality of the Services may change from time to time without prior notice. Examples of such changes include, but are not limited to:

• Updates or improvements to features and functionality.
• Changes to subscription plans, fees, or payment policies.
• Security patches and system updates.
• Enhancements or addition of new tools and modules.

Any new features or updates added to the Services are subject to these Terms, unless explicitly stated otherwise.

Termination by Either Party:

Either you or Review Craze may terminate your subscription or access to Review Craze by providing 30 days' written notice. Upon termination, all outstanding payments for services already rendered or invoiced must be settled in full, and access to the Services will be revoked at the end of the notice period.

Termination by You:

You may terminate your subscription at any time by following the cancellation process in your Review Craze account. Your cancellation will take effect immediately, and you will not be charged further. Fees already paid are non-refundable.

Termination by Review Craze:

Review Craze may, in its sole discretion, terminate your account or access to the Services with 30 days' notice, for any reason, including breach of these Terms or non-payment. Review Craze will not be liable to you or any third party for such termination.

User Content upon Termination:

You are solely responsible for exporting or backing up your User Content prior to the termination date. If Review Craze terminates your account for convenience, we will make reasonable efforts to allow you to retrieve your User Content during the notice period.

Survival of Terms:

Upon termination of the Services or your account, these Terms will also terminate, except for provisions that by their nature should survive, including ownership, warranty disclaimers, and limitations of liability.

No Warranty:

Review Craze and all Services are provided on an "as-is" and "as-available" basis. Review Craze makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, uninterrupted service, or non-infringement.

Limitation of Liability:

To the maximum extent permitted by law, Review Craze shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with:

• Your use or inability to use Review Craze;
• Any errors, bugs, or outages in the Services;
• Unauthorized access to or alteration of your data;
• Any third-party content, integrations, or actions; or
• Any other matter related to the Services.

No Claims for Losses:

You acknowledge and agree that Review Craze is not responsible for:

• Financial loss, business interruption, or lost revenue.
• Loss of data or customer reviews uploaded to or processed by the platform.
• Any indirect or consequential damages resulting from service outages, technical issues, or other factors outside our control.

By using Review Craze, you agree that you cannot claim compensation for any losses, damages, or disruptions related to the Services.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Subject to the Arbitration and Dispute Resolution section below, any Dispute that is not eligible for arbitration under applicable law shall be resolved exclusively by the competent courts having jurisdiction, and the parties consent to such jurisdiction.

Any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or your use of Review Craze ("Dispute") shall be resolved by final and binding arbitration, except where prohibited by applicable law.

Arbitration shall be conducted by a single arbitrator under the rules of a recognized arbitration institution (such as the American Arbitration Association or an equivalent body), as determined by Review Craze, and in accordance with applicable arbitration laws. The arbitration may be conducted in person, remotely, or based on written submissions.

This arbitration agreement shall be governed by applicable arbitration laws, including the U.S. Federal Arbitration Act, where applicable, and shall be enforceable to the maximum extent permitted by law.

Nothing in this section shall prevent either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters relating to intellectual property rights, unauthorized access, or misuse of the Services.

Class actions, collective actions, and representative actions are not permitted, and all Disputes must be resolved on an individual basis, to the extent allowed by applicable law.

If arbitration is not permitted under the laws applicable to you (including certain consumer protection laws in the EU or other jurisdictions), Disputes shall be resolved exclusively by the competent courts determined under applicable law.

You may choose to provide, or Review Craze may invite you to submit, comments, suggestions, or ideas regarding the Services, including feedback on features, improvements, or other aspects of Review Craze (collectively, "Feedback").

By submitting Feedback, you agree that your disclosure is:

• Voluntary and unsolicited, and does not create any obligation or liability for Review Craze
• Provided without expectation of compensation or credit.
• Free for Review Craze to use, modify, implement, or disclose in connection with the Services or any other products, on a confidential or non-confidential basis, as determined in our sole discretion.

You also represent and warrant that your Feedback does not contain any content that is subject to license terms, intellectual property restrictions, or other obligations that would require Review Craze to comply with any additional terms in order to use the Feedback.

The Review Craze Services may incorporate or rely on certain third-party software or tools ("Third-Party Software") to provide or enhance the functionality of the platform.

Use of any Third-Party Software is subject to the terms and conditions of the respective third-party licensors, and nothing in these Terms:

• Limits your rights under those third-party licenses, or
• Grants you any rights that override or conflict with the third-party licensing terms.

You agree to comply with any license requirements or restrictions imposed by third parties when using Review Craze.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Review Craze regarding the use of Review Craze and all related activities.

These Terms may only be modified:

• By a written agreement signed by both parties, or
• By posting an updated version of these Terms on the Review Craze website, in which case continued use of the Services constitutes acceptance of the updated Terms.

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed and will not affect the validity and enforceability of the remaining provisions.

Failure by Review Craze to exercise or enforce any right or provision under these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and shall only apply to the specific instance identified.

You may not assign or transfer these Terms, or any rights or licenses granted hereunder, whether voluntarily, by operation of law, or otherwise, without prior written consent from Review Craze.
